By creating an account or using Cinikey, you confirm that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You will comply with these Terms and all applicable laws
• All information you provide is accurate and current

2. Description of Service

Cinikey is a cloud-based inventory management platform that enables businesses to:

• Track inventory across multiple locations
• Record sales from various channels
• Manage purchase orders and suppliers
• Track expenses and generate financial reports
• Manage team members with role-based access
• Generate receipts and business reports

3. Account Registration and Security

3.1 Account Creation

To use Cinikey, you must:

• Provide accurate and complete information during registration
• Have a valid invitation code (during closed beta) or meet eligibility criteria
• Create a secure password
• Maintain the security of your account credentials

3.2 Account Responsibility

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your login credentials
• Notifying us immediately of any unauthorized access
• Ensuring your team members comply with these Terms

4. Subscription Plans and Billing

4.1 Free Trial

New users receive a 7-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.2 Subscription Plans

We offer the following subscription plans:

• Solo Plan: For individual business owners (1 user)
• Standard Plan: For teams (up to 5 users)

Each plan includes unlimited products, locations, and transactions. See our pricing page for current rates.

4.3 Billing and Payment

• Subscriptions are billed in advance on a monthly, biannual, or annual basis
• Payments are processed securely through Paystack
• All fees are in Nigerian Naira (NGN)
• Prices are subject to change with 30 days' notice
• You authorize us to charge your payment method on the billing date

4.4 Refund Policy

• We do not offer refunds for partial subscription periods
• If you cancel your subscription, you retain access until the end of your current billing period
• No refunds are provided for unused time after cancellation
• In cases of billing errors, we will issue appropriate credits or refunds

5. Acceptable Use Policy

You agree NOT to use Cinikey to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Upload malicious code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for illegal activities
• Resell or redistribute the Service without permission
• Scrape or harvest data from the platform
• Impersonate others or provide false information
• Use the Service to spam or send unsolicited communications

6. Intellectual Property Rights

6.1 Our Rights

Cinikey and all related content, features, and functionality are owned by Tekcelerate Labs and protected by international copyright, trademark, and other intellectual property laws. This includes:

• Software code and architecture
• User interface design
• Logos, branding, and trademarks
• Documentation and help content

6.2 Your Rights

You retain all rights to the business data you input into Cinikey, including:

• Inventory records
• Sales data
• Customer information
• Supplier details
• Financial records

7. Data Ownership and Backup

7.1 Your Data

You own all data you input into Cinikey. We act as a data processor and do not claim ownership of your business information.

7.2 Data Backup

While we perform regular automated backups, you are responsible for:

• Maintaining your own backup copies of critical data
• Regularly exporting important business records
• Verifying the accuracy of your data

We are not liable for data loss due to user error, system failures, or force majeure events.

9.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

9.2 Dispute Resolution Process

In the event of a dispute:

1. Informal Resolution: Contact us at support@cinikey.com to attempt resolution
2. Mediation: If informal resolution fails, disputes will be referred to mediation
3. Arbitration: Unresolved disputes will be settled through binding arbitration in Lagos, Nigeria
4. Court: As a last resort, disputes may be brought before the courts of Lagos State, Nigeria
